Terms of Service

Please read these terms carefully before accessing or installing our real-time AI Data Loss Prevention tools and services.

Important Information

By installing the AIDR Endpoint Agent software or logging into our administrative dashboards, you agree to comply with and be bound by these Terms of Service. These terms govern enterprise licensing, agent deployment restrictions, and liability disclaimers.

1. Acceptance of Terms

By registering for an account, purchasing a subscription, deploying the AIDR endpoint installer, or accessing the AIDR Cloud/On-Premise Dashboard, you ("Customer" or "User") agree to these Terms of Service. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.

If you do not agree to all elements of this agreement, you must not access our dashboard services or deploy our security software.

2. Description of Service

AIDR provides an AI Data Loss Prevention (DLP) platform designed to detect, classify, and mitigate unauthorized transmission of sensitive materials to generative AI tools:

  • Endpoint Software: Native clipboard hooks and background processing utilities which intercept paste actions.
  • Proxy Services: SSL inspection proxy binaries designed to filter HTTP/HTTPS traffic to approved AI tool websites.
  • Administrative Console: The dashboard UI used by administrators to define custom detection patterns, push rules, view system events, and check compliance metrics.

3. License & Agent Software

Subject to compliance with these terms and timely payment of subscription fees, AIDR grants Customer a non-exclusive, non-transferable, revocable license to install and run the AIDR Endpoint Agent on compatible corporate workstations solely for internal security monitoring.

Customer is responsible for obtaining any necessary employee consents or providing relevant notifications regarding endpoint monitoring as required under applicable local labor laws and privacy regulations.

4. Acceptable Use Restrictions

Customer shall not, and shall not permit third parties to:

  • Decompile, reverse engineer, disassemble, or attempt to derive the source code of the Endpoint Agent or Dashboard software.
  • Bypass, disable, or tamper with the local clipboard hook or the SSL inspection mechanisms of the client.
  • Artificially alter, forge, or delete logs in the cryptographic audit ledger.
  • Resell, sublicense, or distribute the software to external entities without prior written authorization.

5. Intellectual Property

AIDR retains all rights, title, and interest in and to the Service, including the Endpoint Agent software, machine learning model weights, UI templates, regular expression libraries, administrative consoles, and all related patents, copyrights, trademarks, and trade secrets.

No ownership rights are transferred to Customer under this agreement.

6. Limitation of Liability

The service is provided "as is" and "as available" without warranty of any kind.

In no event shall AIDR or its suppliers be liable for any indirect, special, incidental, punitive, or consequential damages (including loss of data, security breach damages, or business interruption) arising out of the use or inability to use the software, even if AIDR has been advised of the possibility of such damages.

Because generative AI models and employee behaviors are dynamic, AIDR does not warrant that the software will block 100% of sensitive data leaks or that it will be entirely error-free.

7. Term and Termination

This agreement is active for the duration of the purchased subscription term. Either party may terminate if the other party materially breaches this agreement and fails to cure the breach within 30 days of notification.

Upon termination, Customer must immediately uninstall the AIDR Endpoint Agent from all managed devices and cease accessing the administration dashboard.

8. Governing Law

These terms and any disputes arising out of them shall be governed by and construed in accordance with the laws of Delaware, USA, without regard to conflicts of law principles. You consent to the exclusive jurisdiction of the state and federal courts located in Delaware.
